FACEBOOK PROMOTIONS

GENERAL TERMS AND CONDITIONS OF PARTICIPATION

1. General

• BENBAT invites the public to participate in its Facebook competitions (“Competitions”) which will take place from time to time through the BENBAT Facebook page. The Period of each competition is 30 days from the date of first publication, unless otherwise stated on our Facebook page (the “Competition Period”).
• All Competitions are governed by any specific rules and instructions as may be published on our Facebook page and these General Terms and Conditions. In case of conflict between the specific rules and these general terms and conditions, these general terms will govern.
• By participating in the competition, you agree to all Terms and Conditions as set out in this document.
• The Participation takes place through BENBAT’s Application which is displayed in BENBAT’s Facebook page and/or BENBAT’s webpage and/or other platforms operated by BENBAT such as cellular or networks, etc. Nevertheless, this competition is in no way sponsored, endorsed, administrated by, or associated with Facebook. You, as a participant, release Facebook from any claim and/or demand against it.
• If you are under 18 years of age, you may enter this competition only if your parents or your legal guardian have read and approved these Terms and Conditions.
• BENBAT employees and their first-degree relatives are prohibited from participating in competitions.
• Participating in the Competition is voluntary. BENBAT does not guarantee you any award or prize and no reliance should be placed on winning any award or prize.
• By participating in competitions, you will be providing BENBAT with some of your personal details such as your name, communication details including email and other details required by BENBAT. BENBAT may also be exposed via Facebook to such details, as well information which is or was at any time considered “public information”/” everyone information” according to the Facebook privacy policy. By participating in the competition, you grant BENBAT and its business associates a perpetual worldwide license to use such information, including the names and details of the winners and other participants, the pictures uploaded and any other related material in any way or manner, on the internet and in other media at its discretion, provided that BENBAT will use the pictures in media other than the internet only in connection with the competition.
• You further authorize BENBAT to contact you via, the contact information supplied by you, with messages, offers and information regarding the completion, BENBAT and its products, as well as those of its associates.

2. Participating in a Competition

• If you are interested in participating in a competition, please follow the instructions on BENBAT’s Facebook Page (“the page”).
• Some competitions involve posting pictures, texts or other materials.
• You may only post or upload pictures that: (1) depict you or your children (provided that you are their guardian); (2) you own the copyright in them.
• Do not post any texts or pictures for which you do not own the full copyright, or include the picture, name, voice or likeness of any person other than you or your children (for whom you are the guardian).
• Texts must be original, in English and should not be longer than set out in the instructions.
• Do not post or upload pictures or texts or content of any type that: (i) infringe the copyrights, or other intellectual property rights of any third party; or (ii) contain any statements or messages, which are defamatory, or infringe the right of privacy, or the right of publicity of any third party; or (iii) incite, promote or encourage discrimination on the grounds of race, religion, age, gender, sexual preference or on any other grounds; or (iv) are inflammatory or incite, promote or encourage acts of violence, illegal acts, use of prohibited substances or dangerous acts; or (v) contain explicit or distasteful depictions of violence, pain, suffering or illness; or (vi) contain nudity or pornographic, obscene or profane materials; or (vii) are otherwise inappropriate to the general public; or (viii) are menacing, threatening or intimidating; or (ix) are otherwise illegal or could serve as grounds for any civil or criminal liability against you or BENBAT; or (x) advertise or promote, either expressly or impliedly any product, service, business, political party or other organization or cause, other than BENBAT or BENBAT products; or (xii) contain any address or contact information of any person other than your own; or (xiii) contain any virus, including hostile software (such as a Trojan horse), worms, vandals, malicious applications, etc.
• BENBAT reserves the right to remove or disable access to any pictures, texts or other materials that do not comply with the above conditions, or which we otherwise considered by it to be in bad taste or contradictory to the policies and purposes of BENBAT or are the subject of a complaint by a third party, or for any other reason without any need for notice.
• By uploading or posting any pictures, texts or other materials, you grant BENBAT, its licensees and affiliates a free, unconditioned, non-exclusive and fully transferable license to copy, publish, display, publicly perform, broadcast, transmit, communicate and make available to the public, commercially rent and distribute the materials or any part of them, on or through any platform belonging to or operated by BENBAT and, or any affiliated organization, and in any and all other media, whether now known or hereafter invented, throughout the universe, in perpetuity relating to the competition.
• BENBAT may at its complete discretion edit, alter, add to or detract from any Materials and create derivative works thereof.
• BENBAT cannot promise to grant credits to photographers. You hereby waive any claim against BENBAT for omission of credit or for inaccurate or mistaken credit.
• Not all materials uploaded or posted will be selected to participate in any competition.
• BENBAT may, at its complete discretion select the materials that will be included in the competition. The chosen materials or parts of them will be published on the BENBAT Facebook page and, possibly through other websites and/or by other means, according to BENBAT’s discretion.
• You grant BENBAT your permission to use your name, likeness, picture and voice in regard to the competition and the BENBAT Facebook page in general.

3. Competition results and Prizes

• Details of the prizes for each competition will appear on BENBAT’s Facebook page.
• Some of the competitions involve quality-based or other subjective decisions by BENBAT. BENBAT shall have full discretion in making such decisions and they may not be challenged or appealed.
• In case two or more persons will be eligible for a prize, BENBAT will make a draw between them. The draw will be made within 7 days from the termination of the Competition Period.
• BENBAT will inform the winners about their winning by email using the email address specified by the winner on entering the competition. BENBAT will also advertise the winners name on its website and Facebook page within a week after the end of the competition.
• No promise of success is made, and no winner may claim reliance on the receipt of any prize.
• The prize is personal and not transferable.
• BENBAT may at its discretion change the prizes, even after the closing of a competition for reasons such as exhaustion of stock, withdrawal from the market, mistake or similar reasons.
• The prizes will be awarded and delivered in the place, manner and time chosen by BENBAT, but in all events within 90 days of the closing of the competition.
• The winner bears the sole responsibility of claiming his or her prize. No compensation of any kind shall be paid for failure of the winner to claim the prize for any reason.
• BENBAT reserves the right to disqualify any winner/s and not to deliver the prize to him/them if it discovers or has reason to believe that the winner has infringed these terms and condition of participation or has otherwise unfairly influenced the results of the competition or acted illegally.
• BENBAT has complete discretion in setting and amending any times and may amend the rules of this competition, including the conditions for entry, the times of the competition, the terms selecting entries and winners, and to accept or reject submissions for any reason upon its own discretion.
• BENBAT may cancel the competition at any time, even after submission of entries.
• If a winner does not claim his prize or cannot be located within 21 days from the date of announcement of the winners or, if by reason of the failure of the Winner to provide adequate information within the said period, BENBAT may, at its discretion cancel the prize or transfer it to another participant.
• BENBAT reserves the right to correct any mistake at any time.

4. General

• The headings to these Terms are intended for convenience only and shall not be used for interpretation.
• If any provision or provisions of these Terms should be held to be unenforceable, such holding will not affect the other provisions hereof which shall remain in full force.
• No failure of BENBAT to invoke or enforce any of the Terms and Conditions shall be considered as a waiver of any right of BENBAT.
• These Terms shall be governed and construed under the laws of the state in which the head office of BENBAT is situated. Exclusive jurisdiction over any dispute arising out of it shall be with the courts of the said forum. You hereby waive any right to file a claim in any other jurisdiction.
• BENBAT may amend these Terms and Conditions at any time, without giving any prior or later notice to users. All amendments will come into effect and bind users once posted. Therefore, Users are encouraged to check the Terms and Conditions frequently for amendments.
